Terms of Service

1. Acceptance of Terms

By installing, accessing, or using the LoadAssist Chrome Extension and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legal agreement between you and Impeccable Technology Solutions Inc. ("Company," "we," "our," or "us"), a company incorporated in Manitoba, Canada.

2. Description of Service

LoadAssist is a Chrome browser extension designed to help freight brokers and dispatchers work more efficiently on load board websites. The Service provides:

  • Route visualization and mapping for loads
  • Rate calculation and profitability analysis
  • Email template management and sending
  • Load board interface enhancements
  • A web dashboard for managing settings and templates

The Service currently supports DAT Load Board (one.dat.com). Support for additional load boards may be added in the future.

3. User Accounts

3.1 Account Creation

To use certain features of the Service, you must create an account. You may register using your email address or through Google or Microsoft authentication.

3.2 Account Responsibility

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account

3.3 Account Information

You agree to provide accurate, current, and complete information during registration and to update such information as needed.

4. Acceptable Use

You agree NOT to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe on the rights of others
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to any part of the Service
  • Use automated systems to access the Service in a manner that exceeds reasonable use
  • Reverse engineer, decompile, or disassemble the Service
  • Send spam or unsolicited communications
  • Violate the terms of service of any load board website

5. Third-Party Services

The Service interacts with third-party websites and services, including but not limited to:

  • DAT Load Board (one.dat.com)
  • Google OAuth services
  • Microsoft OAuth services
  • OpenStreetMap and OSRM routing services

Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the content, policies, or practices of any third-party services.

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including all content, features, and functionality, is owned by Impeccable Technology Solutions Inc. and is protected by copyright, trademark, and other intellectual property laws.

6.2 License to Use

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal or business purposes in accordance with these Terms.

6.3 Your Content

You retain ownership of any content you create using the Service, such as email templates. By using the Service, you grant us a license to store and process your content as necessary to provide the Service.

7. Disclaimers

7.1 "As Is" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7.2 No Guarantee

We do not guarantee that:

  • The Service will meet your specific requirements
  • The Service will be uninterrupted, timely, secure, or error-free
  • Any information obtained through the Service will be accurate or reliable
  • Rate calculations or route information will be accurate

7.3 Load Board Disclaimer

LoadAssist is an independent tool and is not affiliated with, endorsed by, or sponsored by DAT Solutions LLC or any other load board provider. Any load information displayed through our Service originates from the load board websites you visit.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL IMPECCABLE TECHNOLOGY SOLUTIONS INC., ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your use or inability to use the Service
  • Any unauthorized access to or use of our servers and/or any personal information stored therein
  • Any interruption or cessation of transmission to or from the Service
  • Any bugs, viruses, or other harmful code that may be transmitted through the Service
  • Any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content

9. Indemnification

You agree to defend, indemnify, and hold harmless Impeccable Technology Solutions Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.

10. Modifications to Service

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

11. Modifications to Terms

We may revise these Terms from time to time. The most current version will always be available on our website. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

Your continued use of the Service after the revised Terms become effective constitutes your acceptance of the revised Terms.

12. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. You may also terminate your account at any time by uninstalling the extension and contacting us to delete your account data.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Manitoba, Canada, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be resolved in the courts of Manitoba, Canada, and you consent to the exclusive jurisdiction of such courts.

14. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Impeccable Technology Solutions Inc. regarding the Service and supersede all prior agreements and understandings.
